Everaus Kinnisvara - Company Announcement

Everaus Kinnisvara AS Second Bond Series Subscription Results

Within the offering, Everaus Kinnisvara offered up to 3000 unsecured bonds with a nominal value of EUR 1,000 each, maturing on 22 October 2028, with a fixed annual interest rate of 10%, payable quarterly (the first interest payment will be made on 22 January 2026). The public offering was available in Estonia, Latvia, and Lithuania.

A total of 906 investors participated, subscribing for bonds in the total amount of EUR 5,760,000. Thus, the EUR 3 million offering was oversubscribed by 1.92 times. The subscribed amounts ranged from EUR 1,000 to EUR 240,000.

Everaus Kinnisvara allocated the bonds according to the following principles:

  • All subscription orders by the same subscriber were summed up.
  • All necessary rounding was done upwards.
  • Subscription orders from Everaus Kinnisvara employees, homebuyers, previous investors, and institutional investors were fully allocated in the amount of EUR 574,000.
  • Bonds worth EUR 2,426,000 that remained unallocated based on the previous principles, were distributed among the remaining investors. Each investor received at least 40% of their subscribed amount, and not less than one bond per investor.

The bonds will be transferred to investors’ securities accounts on 22 October 2025. The first trading day on the Nasdaq Tallinn's alternative market Firth North Bond List is 23 October 2025.

Janar Muttik, founder and CEO of Everaus Kinnisvara, commented: “We are very pleased with the results of our second bond series – the repeated oversubscription confirms that investor interest and trust remain strong even after the successful first issuance in spring. It is gratifying to see that we are trusted both by our previous investors and by many new ones. Nearly one-third of subscribers also participated in the spring issuance. Among the subscribers, 65% were private individuals, while 35% were institutional investors and companies. It was also encouraging to see the growing share of investors from Latvia and Lithuania compared to the spring offering. The subscription results confirm that investors continue to believe in our development prospects and in our strategy of creating high-quality and sustainable living and business environments,” adding that “the funds raised through this second bond series will further support the effective implementation of our planned activities. We sincerely thank all investors who participated in the public offering for their trust. Trust is the highest recognition.”

The public offering was advised by Redgate Capital AS and Law Firm TRINITI.
