Request for confirmation from the Investors to amend the Collateral Agent Agreement
On 31st March 2022 Promalita UAB, a subsidiary of the Issuer, and OP Pank signed an amendment to the loan agreement. With the amendment the loan due date was changed to 31st March 2027 and the contract interest rate was changed from 1.75% to 1.91%.
In regard to prolongation of the loan due date, the maturity of the mortgage securing the loan must be prolonged. A second ranking mortgage has been established in favor of the Investors, and a consent from the pledgee of the second ranking mortgage is required for changing the terms of the first ranking mortgage.
The pledgee of the second ranking mortgage is the Collateral Agent, acting for the benefit of the Investors in accordance with the Terms and Collateral Agent Agreement.
To give authority for the Collateral Agent to issue such consent, the Collateral Agent Agreement must be amended. Pursuant to section 8.4 of the Collateral Agent Agreement, consent from the Majority Investors is required for amending the agreement.
The request for consent, together with proposed amendments to the Collateral Agent Agreement is attached to this notice. Confirmation is deemed to be given after the Issuer has received consent from 2/3 of issued nominal value.
