Clarification on routine for disclosure of transactions in issuers' own shares

On January 21, 2025, Nasdaq Stockholm announced a new procedure for publishing transactions of an issuer's own shares. Starting from January 22, 2025, these transactions will only be disclosed through press releases issued by the company itself.

The Exchange hereby wishes to clarify the requirements on issuers to disclosure information regarding transactions in its own shares. For issuers that carry out transactions in its own shares in accordance with article 5 of the Market Abuse Regulation (EU) No 596/2014 (“MAR”) and the Commission Delegated Regulation (EU) No 2016/1052 (the “Safe Harbour Regulation”), there is an obligation to disclose information on completed transactions no later than by the end of the seventh daily market session following the date of execution of such transactions. The information must be disclosed in a manner which enables fast access and complete, correct and timely assessment of the information by the public, i.e. through a regulatory press release. To ensure full transparency, all transactions in the issuer's own shares should be disclosed in this way, even if they are outside the scope of Article 5 of MAR and the Safe Harbour Regulation.

The Exchange, therefore, urges all issuers conducting transactions in their own shares to disclose information in accordance with the aforementioned requirements.
