Changes in the Capital Structure of J. Molner AS

On 17 December 2025, the Supervisory Board of J. Molner AS (hereinafter the Company) resolved to increase the Company’s share capital by EUR 185,000 in connection with the transaction of restructuring of the capital structure, whereby creditor Matthew J. Halvorsen assigns his claims arising from loan agreements in the amount of EUR 4,979,790 to the Company and acquires in return up to a 9.9% shareholding in the Company. Due to technical reasons, the increase of the Company’s share capital could not be registered with the Commercial Register within the required 6-month period, and therefore the share capital increase pursuant to the above-described resolution failed. Accordingly, on 26 May 2026, the Supervisory Board of the Company adopted a new resolution to increase the Company’s share capital by EUR 185,000 by issuing 185,000 new ordinary shares with a nominal value of EUR 1 each. The new share capital amounts to EUR 1,871,001. The issue price is EUR 26.92 per share (total EUR 4,979,790), of which the share premium is EUR 25.92 per share (total EUR 4,794,790). The right to subscribe for the new shares was granted to Matthew J. Halvorsen, who will pay for the shares by way of a non-cash contribution through set-off of loan receivables in the amount of EUR 4,979,790. The pre-emptive subscription right of existing shareholders has been excluded pursuant to the shareholders’ resolution of 4 December 2025. The new shares entitle their holders to dividends for the financial year that began on 1 January 2025 and subsequent financial years.

The Supervisory Board also resolved to apply for the admission to trading of the new shares issued in the share capital increase on the Nasdaq Tallinn Stock Exchange First North list.
