On the composition of the Council and the Board of Directors

Referring to the information published on June 25^th, 2024, regarding to changes in the commercial register, the Board of Directors of the AS „Rīgas kuģu būvētava” (Company) hereby declares that the present records in the commercial register of the Enterprise Register are not current and do not reflect the actual composition of the Council and Board of Directors of the Company. In accordance with the provisions of Section 284, Paragraph four of the Commercial Law, the composition of the Council and the Board of Directors of the Company corresponds to the decisions taken on May 15^th, 2024, and May 20^th, 2024, which are legally valid from the time of their adoption, whereupon, according to both the report published on May 17^th, 2024, regarding the decisions of the Extraordinary Shareholders’ Meeting on May 15^th, 2024, and the report published on May 24^th, 2024, regarding changes in the composition of the Council, the composition of the Council of the Company shall be Irina Meļņika, Einārs Buks, Abiks Elkins, Romāns Asmiņins and Igors Zadoja, while the Board of Directors, in accordance with the announcement of April 09^th, 2024, regarding changes in the composition of the Board of Directors, includes the mentioned Members of the Board of Directors Jekaterina Meļņika and Maksimiliāns Meļņiks, as well as an additional decision has been taken regarding the election of Ainārs Tropiņš as a Member of the Board of Directors. The Company draws attention that the discrepancy of the records in the commercial register will be rectified in the coming days.

Concerning to the decision of the Enterprise Register of June 21^st, 2024, to restore records in the commercial register, which existed prior to the adoption of the decision of the Enterprise Register of April 08^th, 2024, the Company informs that the restoration of the records is temporary and related to technical deficiencies in the documents submitted to the Enterprise Register, which must be supplemented by certain information, besides the Enterprise Register has specified a time period for submitting the information to the Enterprise Register. It follows that the Enterprise Register did not call into question the legality of the decisions previously adopted by the shareholders and the Council of the Company, but, conversely, acknowledged that, by rectifying deficiencies in the completion of certain documents, those decisions were not only valid, but shall be registered and will also be registered in the commercial register.
