Hestio AS applied for noteholders’ approval for amendments for Terms of the Notes Issue (ISIN LV0000802650) to add subsection c) to Clause 13.1.2.
A notice by Hestio AS for Holders was sent to the Noteholders on 14 February 2025. Altogether Noteholders holding Notes with the nominal value of EUR 1,051,765 which constitutes 100% of the nominal value of all Notes, participated in the voting procedure for amending the Terms of the Notes Issue. Therefore, the quorum for adopting the decision was reached.
The Noteholders voted unanimously for the following decisions:
- to add subsection c) to Clause 13.1. 2. Financial Covenants” as follows:
13.1.2. to maintain DSCR:
c) not less than 1.3 (one point three times), calculated for the Relevant Period at the end of each half-year, starting from 31 December 2024.
Therefore, the required majority for adopting a decision by way of voting procedure was reached and the decisions were adopted by the Noteholders.
The amended Terms of the Notes Issue will be published on the website of the Hestio AS within three business days as of publishing of this notice.
