On changes in the commercial register

The Board of Directors of AS „Rīgas kuģu būvētava” (Company) announces that its former member of the board Deniss Parfens and former member of a council Vasilijs Meļņiks submitted applications to the Enterprise Register of the Republic of Latvia on May 08^th, 2024 and May 09^th , 2024 respectively, challenging the decision of the Enterprise Register of the Republic of Latvia of April 08^th, 2024 regarding to registration of changes in the composition of a Council and the Board of Directors of the Company in the commercial register. Upon examining the applications, the Enterprise Register of the Republic of Latvia detected deficiencies in the previously submitted application and documents enclosed thereto, as a result of which changes were made to the commercial register on June 21^st, 2024, revoking the decision of the Enterprise Register of the Republic of Latvia of April 08^th, 2024 regarding registration of changes in the composition of a Council and the Board of Directors of the Company in the commercial register, and restoring the records that existed prior to the adoption of the contested decision.

Although a time period for rectification of deficiencies has been given for the Company, the Company will not appeal the decision, because in accordance with the decision of the extraordinary meeting of shareholders of the Company of May 15^th, 2024 and the decision of a Council of May 20^th, 2024, respectively the Council and the Board of Directors in a new formerly notified composition have been elected in the Company, where the respective application and the documents enclosed thereto for registration of changes have been submitted to the Enterprise Register of the Republic of Latvia.
