Notice of public offering of bonds of Summus Capital OÜ

Summus Capital OÜ (register code 12838783, “Summus”) hereby announces the public offering of Summus’ bonds (the “Offering”). The Offering is conducted on the basis of the prospectus approved by the Estonian Financial Supervision and Resolution Authority (the “EFSA”) on 9 June 2025. The prospectus is published on the web pages of Summus and the EFSA. The Offering is carried out in Estonia, Latvia and Lithuania.

Summus will hold investor conferences in different languages to introduce Summus and the Offering on 12 June 2025 as follows (all Tallinn time, UTC +2.00):

  • at 9:00 in Estonian, accessible via the following link;
  • at 10:00 in Lithuanian, accessible via the following link, and
  • at 11:00 in English, accessible via the following  link.

Main terms of the Offering

An offering of up to 30,000 bonds of Summus Capital will begin on 10 June 2025 and will end on 20 June 2025. Summus offers bonds with a nominal value and price of EUR 1,000 per bond and a fixed interest rate of 8%. The maturity date of the bonds is 30 June 2029. The bonds will be registered in Nasdaq CSD SE under ISIN code EE0000001493.

The bonds represent a direct and unsecured debt obligation of Summus. All of the Bonds will rank pari passu and the obligations under the bonds will rank at least pari passu with all other unsecured and unsubordinated indebtedness of Summus.

The indicative timeline for the offering

Beginning of the subscription period:            10 June 2025 at 10:00

End of the subscription period:                      20 June 2025 at 15:30

Disclosure of the Offering results:                 25 June 2025

Settlement of the Offering:                            30 June 2025

The first trading day of the Bonds:                on or about 1 July 2025

Submission of subscription orders

To subscribe to the bonds, an Estonian investor must have a securities account with a Nasdaq CSD SE Estonian branch account operator. Latvian and Lithuanian investors should hold a securities account with a financial institution that is a member of the Tallinn Stock Exchange or a Nasdaq CSD SE account operator.

An investor wishing to subscribe for the bonds should contact its securities account operator and submit the subscription order during the offering period in the form indicated below. By submitting the subscription order, an investor authorises the custodian who operates the investor’s current account connected to its securities account to immediately block the whole transaction amount on the investor’s current account until the settlement is completed or funds are released in accordance with the terms set out in the prospectus.

Listing and admission to trading

Summus has submitted an application to Nasdaq Tallinn AS for the listing and admission to trading of Summus bonds. The expected date of listing and the first day of trading at the Baltic Bond List of the Nasdaq Tallinn Stock Exchange thereof is on or about 1 July 2025. While every effort will be made and due care will be taken in order to ensure the listing and admission to trading of the bonds, Summus cannot ensure that the bonds will be admitted to trading.

The prospectus and the bond terms have been published and can be obtained in an electronic format on the website of Summus https://summus.ee/for-investors/ as well as on the website of the EFSA https://www.fi.ee.
