UAB Mano numai hereby informs of the implemented and planned structural changes within the Numai group of companies.
Implemented legal actions
On 31 December 2025, a demerger of UAB Mano numai was completed, whereby a new legal entity was separated from the company and a part of the business was transferred to it as a whole of assets, rights and obligations.
In accordance with the terms of the demerger, following its completion, the provision of portfolio management services, the organisation and supervision of the day-to-day operations of the “Rent-to-Buy” model, customer acquisition and servicing, contract administration, marketing, public communications and other related activities were transferred to and are now carried out by the newly established company UAB Numai group operations.
The direct shareholders of both UAB Mano numai and the company established following the demerger, UAB Numai group operations, remain the same — Aurimas Čiagus and Martynas Kavaliauskas, each holding 50% of the shares in each company.
In addition, a new company — Numai group, UAB — has been established, the purpose of which is, in the future, to become the parent company of the Numai group (UAB Mano numai, UAB Numai group operations and UAB Plote), directly controlling all three of the above-mentioned companies. This step has not yet been implemented.
Numai group, UAB has been established as the group’s management centre in Lithuania, which will be responsible for strategic decision-making in relation to investments, finance and development. Upon implementation of the intended structure, Numai group, UAB will establish consistent group governance practices, make decisions regarding the operations of subsidiary companies, manage an active investment portfolio and perform other key functions typically attributed to a parent company.
Planned legal actions not yet implemented
In the near future, it is planned that:
- Numai group, UAB will acquire the shares of UAB Plote owned by UAB Mano numai;
- Numai group, UAB will acquire from shareholders Aurimas Čiagus and Martynas Kavaliauskas the shares of UAB Mano numai and UAB Numai group operations owned by them.
Following the completion of these legal actions, Aurimas Čiagus and Martynas Kavaliauskas will continue to remain the direct shareholders of Numai group, UAB, and Numai group, UAB will become the sole direct shareholder of UAB Mano numai, UAB Numai group operations and UAB Plote.
These structural changes are being implemented in order to establish a centralised group management structure and to ensure more efficient control of subsidiary companies.
