Frill Holdings nyemission blev
övertecknad
Nyemissionen i Frill Holding AB (”Frill”) blev
övertecknad.
Nyemissionen avsåg högst 30 310 138 B-aktier till en
teckningskurs om 0,50 SEK
per aktie, innebärande en emissionslikvid (före
emissionskostnader) om högst
15 155 069 SEK.
Nyemissionen skedde med
företrädesrätt för aktieägarna. Varje befintlig aktie,
oavsett aktieslag, gav
rätt att teckna en ny B-aktie. Teckningstiden löpte 27
maj – 10 juni
2020.
Sammantaget inkom teckningar avseende 31 127 361 aktier, vilket innebär
att
nyemissionen tecknades till ca 102,7 procent. Nyemissionen tecknades
med
företrädesrätt (med stöd av teckningsrätter) till ett antal av
14 841 284
aktier, vilket motsvarar ca 49 procent av nyemissionen. Då
nyemissionen blev
fulltecknad behöver emissionsgarantin inte tas i
anspråk.
Genom nyemissionen ökar antalet aktier i Frill till 60 620 276, varav
3 000 000
A-aktier och 57 620 276 B-aktier. Aktiekapitalet ökar till 3 031
013,80 SEK.
Utöver nyemissionen med företrädesrätt för aktieägarna tillkommer
en riktad
emission om upp till 7 000 000 B-aktier avseende ersättning
till
emissionsgaranter och rådgivare med vilka ingåtts avtal om ersättning i
form av
aktier. Emissionsgaranterna har valrätt mellan kontant ersättning och
ersättning
i form av aktier. Frill återkommer med uppgift om hur många aktier
som kommer
emitteras i denna del.

Frill Holding AB rights issue was
oversubscribed

The new rights issue
in Frill Holding AB (”Frill”) was oversubscribed.
The new issue concerned a
maximum of 30,310,138 Class B shares at a subscription
price of SEK 0.50 per
share, implying an issue proceeds (before issue costs) of
a maximum of SEK
15,155,069.
The rights issue took place with preferential rights for the
shareholders. Each
existing share, regardless of the class of shares, gave the
right to subscribe
for a new Class B share. The subscription period ran from 27
May to 10 June
2020.
A total of 31,127,361 subscription requests were
received, which means that the
rights issue was subscribed at approximately
102.7 per cent. The rights issue
was subscribed with preferential rights
(supported by subscription rights) to a
number of 14,841,284 shares,
corresponding to approximately 49 percent of the
rights issue. Due to the
rights issue being fully subscribed, the underwriting
guarantee does not need
to be used.
Through the rights issue, the number of shares in Frill increases
to 60,620,276,
of which 3,000,000 are Class A shares and 57,620,276 Class B
shares. The share
capital increases to SEK 3,031,013.80.
In addition to the
rights issue with preferential rights for the shareholders,
there is a directed
issue of up to 7,000,000 Class B shares for remuneration to
underwriters and
advisors with whom an agreement has been reached for
remuneration in the form
of shares. The underwriters have the right of choice
between cash compensation
and remuneration in the form of shares. Frill will
separately provide
information as to how many shares will be issued on this
directed issue.
