The shareholders of Yook OÜ have on 07.07.2026 approved the audited consolidated annual report of Yook OÜ for financial year 2025.

Yook OÜ is a holding company that has no active business activities and the main asset of which is the 100% shareholding in the production company YOOK Production AS.
In 2025, the consolidated revenue of Yook OÜ amounted to EUR 1.5 million, which is more than 2.5 times higher than the revenue in 2024 (i.e. EUR 595,000). Consolidated loss before interest, tax depreciation, and amortization (EBITDA) in 2025 was EUR 1.6 million (EUR [**] million in 2024).
At the same time the production volumes also grew in 2025. In 2025 1.76 million litres of oat drinks were produced, which is 2.7 times more than in 2024 ([0,65] million litres in 2024). Yook OÜ aims to reach positive EBITDA in the first half of 2027.
Given the production volumes, the negative EBITDA per litre of oat drink produced, calculated on a comparable basis, has already reduced, amounting to EUR 1.21 in 2025, compared to EUR 2.28 in 2024.

Compared to the 2025 unaudited consolidated financial position and statement of profit or loss disclosed as annex to the Yook OÜ bond offering information document, the main changes in the corresponding audited figures resulted from the correction of the recognition of government grants. We amended the reporting of government grants as previously grants were reported proportionally over a five year period. Given that the majority of grants have a monitoring period of three years it would be more accurate to report the grants also proportionally over a three-year period. In the audited report, other operating income increased by EUR 274 thousand, the government grant liability decreased by EUR 451 thousand and accumulated losses from prior periods decreased by EUR 177 thousand. As a result, the loss for 2025 decreased by EUR 164 thousand and equity increased by EUR 341 thousand.Other differences between the audited report and previously disclosed figures are due to the effect of the above changes to other line items and technical corrections.
The auditor’s report to the consolidated annual report contains a notation, according to which the auditor considers that the inclusion of financial grants received on the other income line for 2025 and 2024 is not accurate as the essential conditions of the grant have not been fulfilled yet. The Management Board’s opinion in this instance differs from auditor’s position. The Management Board considers that the inclusion of the grant on the income line is accurate as the respective grant relates to the financing of the construction of our plant and given the continuing nature of our business there is sufficient certainty that the essential conditions of the grant are fulfilled at the end of the grant period as such the risk for the full grant amount being recalled is small. The Management Board highlights that the auditors’ notation is of technical nature and does not affect the cash flows, production or wider business activities of YOOK Production AS. The company is working on clarifying the position with the auditors for future purposes.
